Mutual or one-way, which do I need?
If both sides will share sensitive information, mutual. If only you are disclosing, one-way protects you without giving the other side rights against you. The intake asks one question and the draft follows your answer.
How long should confidentiality last?
Three years is the common commercial choice. Trade secrets stay protected as long as they remain trade secrets, and the agreement says so expressly.
Can I reuse it?
Yes. Leave the other party blank on the intake and you get a fill-in-the-name form you can use with each counterparty.
